Aaron primarily practices in the areas of commercial finance, transactions and real estate law, and business planning and strategy, with a special focus on investors, entrepreneurs, startups and small to mid-sized businesses. He has represented clients in multi-million dollar commercial real estate transactions, complex commercial credit facility structuring and negotiation, business formation and governance, corporate transactions, private placements of securities and a multitude of other business-related matters. With his knowledge of the new state and federal rules that govern regulation crowdfunding (raising capital from the general public), Aaron is also positioned to represent clients in securing capital for their businesses by utilizing this contemporary method and to advise crowdfunding platforms on compliance and operational issues.
Prior to attending law school and joining HWA, Aaron was an Investment Analyst for over two years at AllianceBernstein, LP, a multi-national investment research and management firm, in its San Antonio, Texas operational office. At AllianceBernstein, he was responsible for implementing and maintaining investment strategies in the firm’s Separately Managed Accounts division, which frequently involved precise and swift execution of large equity and fixed-income trade orders based on the firm’s proprietary research.
As part of his practice, Aaron routinely represents financial institutions in connection with the structuring, due diligence, negotiation and closing of commercial real estate transactions and commercial loans, including acquisition loans, construction loans, development loans and other commercial lending transactions.
He also represents business owners, real estate investors and developers, and small to mid-sized companies in connection with the acquisition, development, construction, leasing and/or disposition of commercial real estate, personal property assets and related financing transactions thereof, such as commercial loans, securities offerings and mezzanine financing.
Aaron has also represented various mortgage servicers, credit unions and other lien holders in collections and foreclosures of consumer and commercial debts and in Chapter 7 and 13 bankruptcy proceedings.
